Brian has worked on large construction projects in downtown Toronto and Kitchener and the takeover of a TSXV listed mining company. He spearheaded the reorganization of a commercial property tax consulting firm while helping the client anticipate, understand and manage their legal risks. Brian has provided strategic and legal advice to the controlling shareholder of a TSX listed food services franchise business.

Brian has worked with senior management on transactions including debt and equity financings, mergers and acquisitions, and reorganizations.

Brian has drafted a broad spectrum of agreements, including shareholders’ agreements, M&A purchase and sale agreements, loan and security agreements, subscription agreements, mining option agreements, supply and licensing agreements, employment and consulting agreements, confidentiality agreements, voting trust agreements, option plans and agreements, requests for proposals, joint venture agreements, and outsourcing contracts.
